Grand Bahama Power Company - Lead counsel for $56 million facility to install new electricity generation facility as well as funding for hurricane rebuilding efforts.

Mayaguez Cogeneration Facility – Lead counsel for private development group for negotiation of 30 year power purchase agreement with Puerto Rico Electric Power Authority.

Mobile Tissue Mill – Lead counsel for multinational corporation in renegotiation of steam and electricity sales agreements with Mobile Energy Services Company.

Auctions for Sale of Assets – Lead counsel to a publicly traded company in proposed divestitures of multi-million dollar operating facilities in Massachusetts, Georgia, and Florida. This representation included advising the client with respect to the auction process, the ownership structure and due diligence, and the negotiation of various disposition agreements with a number of bidders.

Curacao Secured Financing - Lead counsel for a publicly traded company in its $25 million secured financing of a subsidiary in Curacao. This representation included the negotiation of loan documentation, including a pledge of shares to secure the loan.

Orange and Rockland Utilities, Inc. - Lead counsel for publicly traded company in its $476 million acquisition and subsequent operation of power plants in New York. This representation included advising the client with respect to the auction process, the ownership structure and due diligence, and the negotiation of various acquisition agreements, power off take agreements, fuel supply agreements and interconnection agreements.

Potomac Electric Power Company - Lead counsel for a publicly traded company in the financing of the acquisition of operating assets in Maryland, Virginia and Washington, D.C. for more than $3 billion. Commonwealth Energy Company - Lead counsel for an independent power producer in its $537 million acquisition and subsequent operation of generating plants in Massachusetts. This representation included advising the client with respect to the auction process and the negotiation of various acquisition agreements, power off take agreements, fuel supply agreements, interconnection agreements and a steam supply agreement.  Perryville Energy Partners - Lead counsel for a publicly traded company in a joint venture for the ownership, development and operation of a power project in Louisiana.

Southern Energy North America Generating Financing - Lead counsel for the North American subsidiary of a multinational corporation in arranging for over $1.45 billion in financing. The subsidiary owned facilities throughout the United States.

Louisiana Generating, LLC -Counsel for a limited liability company that acquired generating assets of a Louisiana electric cooperative for $1.1 billion, including the negotiation of long term power supply agreements with the electric cooperatives that were members of Cajun Electric Cooperative.

Trinidad and Tobago - Counsel for a publicly traded company in its acquisition of an interest in Power Generation Company of Trinidad and Tobago. This acquisition included the negotiation of shareholder agreements with the government owned company as well as agreements with a multinational petroleum company.

Grand Bahama Power Company Acquisition - Counsel for a publicly traded company in its acquisition of a controlling interest in a utility operating on Grand Bahama Island. This representation included the negotiation of the share purchase agreement, shareholders agreement and financing agreements relating to funding the acquisition.

Sual Power Project - Counsel for an independent power producer in the bid to construct, own and operate a coal fired power project in The Philippines. This representation included negotiation of a consortium agreement between the U.S. company, a Philippine company, and the Japanese equipment supplier, and the preparation of a power purchase agreement, engineering procurement and construction agreement, shareholder agreement and operation and maintenance agreement for the bid.

Gasoducto Nor Andino S.A. - Counsel for a company in Chile in connection with a turnkey engineering, procurement and construction contract for a gas-fired combined cycle power generating facility.

Birchwood Power Partners – Counsel for negotiating all equipment procurement and construction agreements for the construction of a 220 MW coal fired cogeneration facility.
