Mr. Lueder is a corporate and transactional law attorney with more than 14 years experience advising clients in mergers, acquisitions, ownership arrangements, financings and business operations.

Mr. Lueder has been the lead or significant counsel in numerous transactions throughout the U.S. and overseas with a value of more than $8.7 billion. His clients have ranged from start-up companies to Fortune 500 companies, and have included utility companies, independent power producers, investment banks, capital funds, retail companies, health care companies, food service companies, construction companies, real estate companies and numerous entrepreneurs.

Mr. Lueder has been responsible for drafting and negotiating a wide variety of agreements related to business transactions, including stock purchase agreements, asset purchase agreements, merger agreements, credit agreements, shareholders’ agreements, limited liability company agreements, joint venture agreements, consulting agreements, employment agreements, power purchase agreements, engineering, procurement and construction contracts, operation and maintenance agreements, interconnection agreements, fuel supply agreements, and long term service agreements.

Mr. Lueder also provides general corporate, partnership and limited liability company advice and has advised clients on the formation of their companies (including choice of entity), ownership arrangements, and corporate governance matters.

Prior to forming Marshall & Lueder, Mr. Lueder was a corporate law partner with an international law firm with more than 400 attorneys and a corporate attorney with an 800-attorney firm.

Mr. Lueder attended law school at Wake Forest University (J.D., 1992), where he received scholastic honors and was an editor of the Law Review. He attended The University of North Carolina at Charlotte (B.A., magna cum laude, 1989), where he was a finance major and a member of Beta Gamma Sigma (the Honor Society for Collegiate Business Schools).

Mr. Lueder is a member of the American Bar Association (Business Law Section), Georgia Bar Association and Energy Bar Association.
