Mr. Marshall is a corporate and transactional attorney who has represented clients in mergers and acquisitions, joint ventures, divestitures, business start-ups, contract negotiations and general corporate advice.
Mr. Marshall has represented clients in a wide variety of industries, including independent power producers, electric utilities, telecommunications providers, computer companies, automobile dealerships, technology companies and real estate developers. He has advised individuals and companies on all aspects of business transactions including initial formation (including the choice of entity), investment in ongoing businesses, shareholder agreements, start-up financing, bank financings, and the sale of businesses.
Mr. Marshall has extensive experience in domestic and international projects representing clients in significant business transactions, including complex asset acquisitions, domestic and international joint ventures, acquisition of assets from bankruptcy estates, syndicated bank financings and project finance transactions. He has been responsible for structuring acquisitions and drafting, negotiating and reviewing contracts for the transactions, as well as providing advice and counsel to senior and operational management.
Prior to forming Marshall & Lueder, Mr. Marshall was a partner with an 800 attorney international law firm and a 400 attorney international law firm based in Atlanta, Georgia.
Mr. Marshall served as an officer in the U.S. Navy from 1977 to 1981.
Mr. Marshall is a graduate of the University of Virginia (B.A. Foreign Affairs, 1977) and Lewis & Clark Law School (J.D., magna cum laude, 1985).
Mr. Marshall is a member of the American Bar Association (Business Law Section) and the Georgia Bar Association.
